License Agreement

This agreement is between maxen ("licensor") and the organization that activates an IT Portal
license key ("customer"). Activating a key means the customer accepts this agreement.
1. License grant
- A non-exclusive, non-transferable license to run one production instance of
IT Portal for the annual term stated in the license.
- The license is bound to one portal domain and includes the employee limit and the
set of modules stated in the license. Modules can be added at any time; changes take effect
without redeployment.
- The software is licensed, not sold. All rights not expressly granted remain with the licensor.
2. Self-hosting and data ownership
- The customer hosts the software on its own infrastructure. All data entered into the
instance belongs to the customer and never leaves the customer's server.
- The licensor has no access to the instance and receives no employee data, credentials, or
directory contents.
3. License validation
- The instance periodically contacts the licensor's validation API, transmitting only the
license key and a domain identifier.
- If validation fails (expired, revoked, or domain mismatch), the instance switches to
read-only mode: data remains viewable and exportable, but changes are blocked until the
license is restored.
- Disabling, circumventing, or tampering with the validation mechanism is a material breach
of this agreement.
4. Restrictions
- No reselling, sublicensing, renting, or providing the software to third parties as a
service, except under a separate written reseller agreement.
- No sharing license keys between organizations; one key serves one customer.
- No reverse engineering, decompiling, or modifying the software except to the extent
expressly permitted by applicable law.
- No removing or altering copyright or license notices. White-label branding options, where
included in the license, are configured through the product itself.
5. Trial licenses
Trial keys are provided for evaluation only, are time-limited (with a short grace period),
and may be revoked at any time. All terms of this agreement apply to trial use.
6. Updates and support
- An active license includes software updates released during the term.
- Support is provided per the purchased package; Enterprise licenses may include an SLA
agreed separately.
7. Termination
- The licensor may revoke a license upon material breach (including key sharing, tampering
with validation, or non-payment). Revocation switches the instance to read-only mode.
- Termination never deprives the customer of its data: the database resides on the
customer's server and export remains available in read-only mode.
8. Warranty and liability
The software is provided "as is" without warranties of any kind, express or implied.
To the maximum extent permitted by law, the licensor's total liability under this agreement is
limited to the license fees paid by the customer in the twelve months preceding the claim; the
licensor is not liable for indirect, incidental, or consequential damages, or loss of data
hosted on customer infrastructure.
9. General
This agreement is the entire agreement regarding the software and supersedes prior
discussions. If any provision is held unenforceable, the remainder stays in effect. Amendments
apply from the next renewal term and are published at this address.
